Writing HOA board meeting minutes that hold up

Minutes are a legal record of decisions, not a transcript of discussion. The shorter and more precise they are, the more useful they become.

What minutes must contain

  • Association name, meeting type, date, time and location or link
  • Attendance and confirmation of quorum
  • Approval of prior minutes
  • Each motion: who moved, who seconded, the exact wording, and the vote count
  • Action items with an owner and a due date
  • Time of adjournment

What to leave out

Leave out opinions, back-and-forth debate, names attached to individual arguments, and anything discussed in executive session that is confidential. Summarize the outcome, not the argument.

Record motions in a fixed format

A consistent format such as 'Moved by [name], seconded by [name], to [action]. Approved 4-1.' makes minutes scannable years later and prevents ambiguity about what was actually authorized.

Draft while it is fresh

Minutes written the same week are more accurate and much faster to produce. If you record the meeting, transcribe first and edit down to decisions rather than trying to write from memory later.
